An overview of the UCS Group Deal acquiring TSS
In July 2006 UCS Group and UCS Solutions Holdings with TSS (Tactical Software Systems) and its shareholders acquired;
-
100% of TSS Business Services, a business focussed on SAP implementation, consulting and support.

100% of Quartet, a business focused on SAP training services (Quartet and TSS Business Services have been combined into a new business Quadrant Consulting).

60% of TSS Managed Services (TSSMS) which provides IT infrastructure, implementation, operation and support services.
The purchase consideration through the issue of shares in UCS Solutions Holdings resulted in TSS becoming a 25.1% BEE shareholder in UCS Solutions. TSS is 100% black owned. This acquisition has been approved by the competitions commission. The combination of UCS Solutions and the TSS businesses creates a strong IT services market participant. The combined businesses represent a material SAP practice, with over 150 consultants.
